An accredited investor is defined by SEC Rule 501 of Regulation D. Generally, this includes individuals with a net worth over $1 million (excluding primary residence), or annual income over $200,000 ($300,000 with a spouse or spousal equivalent) in each of the last two years with a reasonable expectation of the same this year. Holders of certain professional licenses (Series 7, 65, or 82), knowledgeable employees of private funds, and certain entities also qualify.

Investments are structured as a Simple Agreement for Future Equity (SAFE) under standard YCombinator terms. SAFEs convert into equity at a future priced round, typically at a discount or subject to a valuation cap. Terms are set out in the definitive investment documents.

LungAI is investigational and not FDA 510(k) cleared. Oatmeal Health is preparing a 510(k) premarket notification for submission to the FDA. LungAI is not commercially available. All clinical performance data reflects retrospective studies on held-out datasets.

Funds will be used to complete the FDA 510(k) submission process, expand our engineering and clinical team, scale partner integrations, and build out the commercial infrastructure needed to go to market upon clearance.

Before FDA clearance, Oatmeal Health generates revenue through its screening navigation platform that helps health systems identify and engage eligible patients for lung cancer screening. After clearance, LungAI will enable additional revenue through AI powered diagnostic support services.

The lung cancer screening space is early and underserved.
